1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SMOVECITY HOLDING ("Company", "we", "our", or "us") concerning your access to and use of the IMMODESK platform (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Service.

2. Description of Service

IMMODESK is a comprehensive property management platform that enables landlords to:

• Manage properties, units, and tenants
• Track leases and rental income
• Handle maintenance requests and issues
• Store and organize documents
• Generate reports and insights
• Communicate with tenants through a tenant portal

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities

You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service.

4. Subscription and Payment

4.1 Subscription Plans

IMMODESK offers various subscription plans with different features and pricing. Current plans and pricing are available on our pricing page.

4.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• You authorize us to charge your payment method for all fees incurred
• We reserve the right to change our prices with 30 days notice

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload malicious code or compromise system security
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Collect user information without consent
• Use automated systems to access the Service without permission

6. User Content

You retain ownership of all content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive license to use, store, and display your content solely for the purpose of providing the Service.

You are solely responsible for your content and the consequences of posting it. You represent that you have all necessary rights to upload your content and that it does not violate any laws or third-party rights.

9. Service Availability

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Breach these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Violate the rights of others

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after 90 days, so please export any data you wish to retain before termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMOVECITY HOLDING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the twelve months preceding the event giving rise to liability.

13. Indemnification

You agree to indemnify and hold harmless SMOVECITY HOLDING and its affiliates from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Belgium.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
